12. Feedback
If you voluntarily provide suggestions, ideas, or feedback concerning FastBuild, you grant us the right to use that feedback without restriction or compensation, provided that doing so does not grant us ownership of your confidential Customer Content.
13. Third-Party Services
FastBuild may rely on or integrate with third-party services.
Third-party services may be governed by their own terms.
FastBuild is not responsible for failures, acts, omissions, policy changes, outages, or security incidents solely attributable to independent third-party services beyond our reasonable control.
14. Availability and Changes
We aim to operate FastBuild reliably but do not guarantee uninterrupted availability.
Service interruptions may occur because of:
- maintenance;
- upgrades;
- security incidents;
- infrastructure failures;
- third-party outages;
- network failures;
- force majeure;
- emergency maintenance.
We may modify or discontinue features.
If a change materially reduces a paid Service during a prepaid subscription term, any remedies will be determined under the applicable Subscription Terms or written agreement.
15. Beta and Experimental Features
Features identified as beta, preview, experimental, early-access, or similar may:
- be incomplete;
- contain errors;
- change materially;
- be discontinued;
- have limited support.
Such features should not be used for critical operations unless the customer independently determines they are appropriate.
16. Subscription and Billing
Paid use of FastBuild is additionally governed by the FastBuild Subscription Terms.
If these Terms conflict with specific Subscription Terms concerning billing, renewal, cancellation, or paid-plan rights, the Subscription Terms govern those matters.
17. Suspension
We may restrict or suspend access where reasonably necessary because of:
- security risks;
- suspected unauthorized access;
- material breach of these Terms;
- unlawful activity;
- non-payment;
- abuse affecting the Service or other users;
- legal requirements.
Where reasonably practicable, we will attempt to provide notice before suspension unless immediate action is necessary.
18. Termination
You may stop using FastBuild at any time.
Authorized organization owners may terminate their organization subject to applicable subscription commitments.
We may terminate access for a material breach that is not cured within a reasonable period after notice, unless immediate termination is reasonably necessary because of unlawful conduct, security risk, fraud, or serious abuse.
19. Data Following Termination
Customers should export information they need before termination.
After termination, FastBuild may delete or render inaccessible Customer Content in accordance with our data-retention practices.
FastBuild is not required to retain Customer Content indefinitely after termination.
Certain records may remain where required for:
- legal compliance;
- billing;
- security;
- fraud prevention;
- audit;
- dispute resolution;
- backup rotation.
20. Confidentiality
Each party may receive non-public confidential information from the other.
The receiving party must use reasonable measures to protect confidential information and use it only as necessary for the relationship between the parties.
Confidentiality obligations do not apply to information that:
- is publicly available without breach;
- was independently known;
- was lawfully received from another source;
- was independently developed;
- must be disclosed by law.
21. Disclaimer of Warranties
To the maximum extent permitted by applicable law, FastBuild is provided on an "as is" and "as available" basis.
We do not warrant that:
- the Service will always be uninterrupted;
- every feature will be error-free;
- every calculation will be correct in every circumstance;
- the Service will satisfy every customer's legal obligations;
- data entered by customers will be accurate;
- every third-party service will remain available.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
22. Limitation of Liability
To the maximum extent permitted by applicable law, FastBuild will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of profits, revenue, business opportunity, goodwill, or anticipated savings, arising from the Service.
To the maximum extent permitted by applicable law, the aggregate liability of FastBuild arising out of or relating to the Service will not exceed the greater of:
- the amount paid by the customer to FastBuild for the Service during the twelve months immediately preceding the event giving rise to the claim; or
- CAD $100 where the customer has not paid FastBuild during that period.
These limitations do not apply where liability cannot lawfully be limited or excluded.
23. Indemnification
To the extent permitted by law, an organization using FastBuild agrees to defend, indemnify, and hold harmless FastBuild from third-party claims arising from:
- unlawful Customer Content;
- the organization's unlawful use of FastBuild;
- violation of employee privacy rights by the organization;
- unlawful workforce monitoring;
- violation of law by the organization;
- Customer Content infringing third-party rights.
This provision does not require indemnification for claims caused solely by FastBuild's own unlawful conduct where such indemnification would not be permitted.
24. Force Majeure
Neither party will be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, labour disputes, internet failures, power failures, governmental actions, major infrastructure outages, or similar events.
Payment obligations already incurred are not excused by this section.
25. Governing Law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Subject to any mandatory legal rights or jurisdictional requirements, courts located in Toronto, Ontario will have jurisdiction over disputes arising from these Terms.
26. Changes to These Terms
We may update these Terms from time to time.
Material changes may be communicated through the Service, email, or another reasonable method.
Changes will not retroactively alter rights already accrued except where legally permitted.
Continued use after updated Terms become effective constitutes acceptance where permitted by law.
27. Entire Agreement
These Terms, the Privacy Policy, Cookie Policy, Subscription Terms, and any applicable written order or enterprise agreement constitute the agreement governing use of FastBuild.
An enterprise or separately signed agreement may modify these Terms.
28. Severability
If a provision is determined to be unenforceable, it will be modified or severed to the minimum extent necessary, and the remaining provisions will remain effective.
29. No Waiver
Failure to enforce a provision is not a waiver of that provision.
30. Assignment
You may not assign your rights or obligations under these Terms without our consent, except as part of a lawful merger, reorganization, or sale of substantially all relevant business assets where permitted.
FastBuild may assign these Terms in connection with a corporate restructuring, merger, acquisition, financing, or sale of its business.
